Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and [PLACEHOLDER: legal entity name, e.g. Shorely, Inc.] ("Shorely," "we," "us," or "our") and govern your access to and use of the Shorely apps, website, and services (the "Services"). By creating an account or using the Services, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. Drivers must additionally meet all applicable licensing, insurance, vehicle, and eligibility requirements and complete our verification process.
2. The rider–driver relationship
Shorely is a technology platform that connects riders seeking beach transportation with independent drivers who provide it. Drivers are independent contractors and are not employees, agents, or partners of Shorely. We do not provide transportation services ourselves and are not a transportation carrier. Any ride is a transaction between the rider and the driver, facilitated by the Services.
3. Accounts
You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
4. Payments and fares
- Fares are shown upfront before you confirm a ride and are calculated based on factors such as distance, time, vehicle tier, and applicable fees.
- You authorize us and our payment processor to charge your selected payment method for the fare and any applicable taxes or fees.
- Shorely retains a service fee from each fare; the remainder is paid out to the driver. Driver payout terms are described in the driver materials within the app.
- Except as required by law or expressly stated, charges are non-refundable once a trip is completed.
5. Cancellations
You may cancel a requested ride, but a cancellation fee may apply if you cancel after a driver has accepted or is en route, as described in the app at the time of booking. Drivers may also cancel in certain circumstances.
6. Prohibited conduct
- Using the Services for any unlawful purpose or to facilitate illegal activity.
- Harassing, threatening, or endangering riders, drivers, or others.
- Damaging vehicles or property, or transporting prohibited items.
- Providing false information, impersonating others, or manipulating ratings or fares.
- Interfering with, reverse engineering, or attempting to disrupt the Services.
We may suspend or terminate accounts that violate these Terms.
7. Ratings and content
You may submit ratings, reviews, and other content. You are responsible for that content, and you grant Shorely a license to use it to operate and improve the Services. We may remove content that violates these Terms.
8. Disclaimers and limitation of liability
The Services are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. Shorely does not guarantee that drivers, riders, or rides will meet your expectations. To the maximum extent permitted by law, Shorely will not be liable for indirect, incidental, special, consequential, or punitive damages, or for the acts or omissions of riders or drivers.
9. Indemnification
You agree to indemnify and hold Shorely harmless from claims arising out of your use of the Services or your violation of these Terms.
10. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. [PLACEHOLDER: confirm jurisdiction]
